DRAFTKINGS REFER-A-FRIEND PROGRAM TERMS AND CONDITIONS

The DraftKings Refer-a-Friend Program (the "Program") allows you, our valued customer, to receive rewards for players that you refer to play on DraftKings.

These DraftKings Refer-a-Friend Program Terms and Conditions (the "Terms" or the "Agreement") apply to, and govern, your participation in the Program, including, without limitation, how you can market and promote the Program. In addition to the Terms, all Program activity is governed by the DraftKings Daily Fantasy Terms of Use (available by clicking HERE) (the “DFS TOU”), the DraftKings Pick6 Terms of Use (available by clicking HERE) (the “Pick6 TOU”), the Terms of Use of DraftKings Sportsbook for the state you are physically located in (the “OSB TOU”), the Terms of Use of DraftKings Sportsbook and Casino for the state you are physically located in (the “OSB/Casino TOU”), the Jackpocket Terms of Service (available by clicking HERE) (the “Jackpocket TOU”), the DraftKings Racing Terms of Use (available by clicking HERE) (the “Racing TOU”), and the DraftKings Predictions Terms of Use (available by clicking HERE) (the “Predictions TOU” together with the DFS TOU, Pick6TOU, OSB TOU, OSB/Casino TOU, Jackpocket TOU, and Racing TOU, the "TOU"), the DraftKings Predictions Privacy Notices (available by clicking HERE ) (the “Predictions Privacy Notices”) and the DraftKings Privacy Notice (available by clicking HERE) (the "DraftKings Privacy Notice" together with the Predictions Privacy Notices, the “Privacy Notice”). The TOU, as may be amended at any time from time to time, are hereby incorporated by reference into these Terms in their entirety. You also confirm that you have received and understand the Risk Disclosure Statement for Futures and Options (available by clicking HERE), the Combined Disclosures (available by clicking HERE), and the Event Contracts Risk Disclosure (available by clicking HERE).

As detailed in the TOU, you agreed to, among other things, certain provisions regarding intellectual property, confidentiality, disclaimer of warranties, and limitation of liability relating to your use the websites https://sportsbook.draftkings.com, https://casino.draftkings.com, https://pick6.draftkings.com/, https://racing.draftkings.com/, https://lottery.jackpocket.com/en/, https://predictions.draftkings.com, and https://www.draftkings.com, and the DraftKings Fantasy Sports, DraftKings Pick6, DraftKings Sports and Casino, DraftKings Predictions, Jackpocket Lottery, and DraftKings Casino mobile applications (each a “Platform” and collectively the "Platforms").

DEFINITIONS APPLICABLE TO THE PROGRAM

The definitions set forth in the TOU and Privacy Notice are incorporated herein in their entirety by reference. In addition, the following definitions apply to this Agreement:

"Casino Reward(s)" shall mean the Program promotion applicable to DraftKings Casino that is live at the time that your Referred Friend (as defined below) completes their Committed Action (as defined below).

“Committed Action” means any action(s) a referred person needs to complete to become a Referred Friend as set forth in the Promotional Terms (as defined in the Acceptance and Modifications to the Terms section below). Committed Actions may include, without limitation, making a deposit of a certain amount, entering a paid DraftKings Daily Fantasy contest, placing a trade on DraftKings Predictions, placing a bet on DraftKings Sportsbook, or placing a wager on DraftKings Casino. Certain Committed Actions may require a referred person to be a resident of certain jurisdictions and/or physically located in certain jurisdictions while completing the action.

"DFS Minor" shall mean any individual under eighteen (18) years of age; provided, however, that DFS Minor shall mean (i) any individual under nineteen (19) years of age who is physically located in Alabama or Nebraska, or (ii) any individual under twenty one (21) years of age who is physically located in Arizona, Illinois, Iowa, Louisiana, Massachusetts, or Virginia.

"DFS Reward(s)" shall mean the Program promotion applicable to DraftKings Fantasy Sports that is live at the time that your Referred Friend completes their Committed Action.

"Link" shall mean a unique URL provided by DraftKings that directs a referred person to the Program Site (as defined below) and allows DraftKings to track and attribute Referred Friends. A Link is specific to an individual DraftKings Platform (for example only, there are unique Links related to DraftKings Pick6 and unique Links related to DraftKings Sportsbook).

“Lottery Minor” shall mean any individual under eighteen (18) years of age provided, however, that Lottery Minor shall mean (i) any individual under nineteen (19) years of age who is physically located in Nebraska, or (ii) any individual under twenty one (21) years of age who is physically located in Arizona or Massachusetts.

“Lottery Reward(s)” shall mean the Program promotion applicable to Jackpocket that is live at the time that your Referred Friend completes their Committed Action.

"Pick6 Reward” shall mean the Program promotion applicable to DraftKings Pick6 that is live at the time that your Referred Friend completes their Committed Action.

"Player(s)" shall mean any person that has a DraftKings or Jackpocket account or is using any Platform.

“Predictions Minor" shall mean any individual under eighteen (18) years of age.

“Predictions Reward(s)" shall mean the Program promotion applicable to DraftKings Predictions that is live at the time that your Referred Friend completes their Committed Action.

"Program Site" shall mean the applicable referral site located at https://www.draftkings.com/refer for Daily Fantasy referrals, https://pick6.draftkings.com/refer for Pick6 referrals, https://predictions.draftkings.com/en/refer for Predictions referrals, https://casino.draftkings.com/refer for Casino referrals,

https://racing.draftkings.com/refer for Racing Rewards,

https://lottery.jackpocket.com/en/refer for Lottery Rewards, and

and https://sportsbook.draftkings.com/refer for Sportsbook referrals.

“Racing Minor" shall mean any individual under eighteen (18) years of age or under the legal age of their state of residence to place a bet on horse racing.

“Racing Reward” shall mean the Program promotion applicable to DraftKings Racing that is live at the time that your Referred Friend completes their Committed Action.

"Referred Friend(s)" shall mean any person you refer to DraftKings via the Program that meets the following criteria: the person (i) does not have any prior or existing DraftKings or Jackpocket accounts; (ii) accesses DraftKings or Jackpocket directly through a Link; (iii) successfully creates a new user account with DraftKings or Jackpocket; (iv) makes a money deposit into their DraftKings or Jackpocket account; (v) completes all other Committed Actions set forth in the applicable Promotional Terms; (vi) complies with these Terms and the TOU in all respects, and (vii) is of legal age in their jurisdiction to participate in the applicable DraftKings Platform or service.

“Reward” shall mean a Casino Reward, DFS Reward, Lottery Reward, Pick6 Reward, Predictions Reward, Racing Reward, and/or SB Reward.

“SB/Casino Minor” shall mean any individual under twenty one (21) years of age however, that SB/Casino Minor shall mean any individual under eighteen (18) years of age who is physically located in New Hampshire, Washington D.C., or Wyoming.

"SB Reward(s)" shall mean the Program promotion applicable to DraftKings Online Sportsbook that is live at the time that your Referred Friend completes their Committed Action.

ACCEPTANCE AND MODIFICATIONS TO THE TERMS

By clicking “Share Link,” “Copy Link,” “Accept Terms,” “Accept Terms & Share Link,” “Accept Terms and Copy Link,” otherwise indicating your consent, sending a Link, including, without limitation, through clicking the X (formerly known as Twitter), Facebook, or Threads buttons on the Program Site, referring-a-friend to DraftKings, or otherwise participating in the Program, you agree to be bound by the Terms, as may be amended from time to time. DraftKings reserves the right to amend the Terms at any time in its sole and absolute discretion, for any reason or no reason, without notice to you. It is your responsibility to review the Terms for any changes prior to participating in the Program or referring-a-friend to DraftKings. Any amendments to the Terms will be effective and binding upon the posting of the amended Terms on the Program Site or Platform. Your continued participation in the Program, including, without limitation, sending any Links or referring-a-friend after DraftKings amends the Terms shall be deemed your acceptance and agreement to the amended Terms. In the event you do not agree to these Terms or any changes to these Terms, you must stop participating in the Program and stop referring-a-friend to DraftKings.

DraftKings reserves the right to suspend, modify, and/or cancel the Program or any promotion related to the Program at any time in its sole and absolute discretion, for any reason or no reason, with or without notice to you.

Each refer-a-friend promotion, Reward, and/or other offer in connection with the Program may have additional terms, conditions, rules, and/or eligibility requirements associated with it and which will be immediately binding and enforceable (“Promotional Terms”). The Promotional Tems will either (i) be posted on the Program Site or Platform or (ii) be otherwise made available or communicated to you. All Promotional Terms are hereby incorporated by reference into the Terms in their entirety, including any amendments made to the Promotional Terms at any time. DraftKings reserves the right to amend any Promotional Terms at any time in its sole and absolute discretion, for any reason or no reason, without notice to you. You are solely responsible for reading and understanding the Promotional Terms applicable to the promotions that you enter or in which you participate in connection with the Program and any applicable Rewards. In the event of a conflict between the Terms and any Promotional Terms, the Promotional Terms shall govern, and nothing in the Terms shall alter, amend, modify, invalidate, or void any term or condition in the Promotional Terms.

Each promotion or similar offer in connection with the Program is only open to individuals who meet all eligibility requirements of such promotion or similar offer and comply with the Promotional Terms.

ELIGIBILITY

To be eligible to participate in the Program or receive Rewards, you must (i) be at least eighteen (18) years of age (higher age limits may apply in certain jurisdictions or for certain refer-a-friend promotions or other offers in connection with the Program); (ii) have a valid DraftKings or Jackpocket account that is maintained in good standing; (iii) not be voluntarily (i.e., self-exclusion) or involuntarily excluded from play on any Platform; (iv) not be included on any jurisdiction-wide gaming or fantasy sports exclusion list; and (v) not be temporarily or permanently banned from playing on any Platform.

To be eligible to participate in promotions or similar offers in connection with the Program associated with DraftKings Predictions or to be eligible to earn Predictions Rewards, you must (i) be a U.S. resident; (ii) be a resident of a U.S. territory, Washington D.C., or a U.S. state where DraftKings offers DraftKings Predictions (collectively, “Predictions Eligible Jurisdictions”); (iii) be physically located in a Predictions Eligible Jurisdiction, Canada, or Mexico; and (iv) not be physically located on tribal land.

In the event you are physically located in Massachusetts you are ineligible to receive SB Rewards. You shall not send a Link while physically located in Washington and shall not send a Link to any person who is a resident of Washington. You will not be eligible to receive Rewards for any Link sent while you are physically located in Washington or in connection with any Link sent to a resident of Washington.

Employees, officers, directors, and interns of DraftKings or its affiliates; contractors, consultants, or service providers of DraftKings or its affiliates; and Immediate Family Members of each of the foregoing are not eligible to participate in the Program or receive Rewards. An "Immediate Family Member" means any domestic partner or relative of an Employee who resides in the same residence as an Employee, including, without limitation, an Employee’s parents, grandparents, in-laws, children, siblings, and spouses.

All determinations as to your eligibility for participation in the Program and/or any promotion related to the Program shall be made by DraftKings in its sole and absolute discretion, for any reason or no reason.

INVITATION OPTIONS

In order for a person to become a Referred Friend, the person must first click a Link. A person that clicks your Link will only be deemed a Referred Friend in the event the person successfully creates a DraftKings account after clicking on your Link and successfully completes the Committed Action(s). You can request your Link on the Program Site. In the event a person creates a DraftKings or Jackpocket account without using a Link, that person is not a Referred Friend, and you will not be entitled to a Reward. You acknowledge and accept that other Players use Links, that a referred person may have clicked the Link of another Player, and that you shall only receive the applicable Reward for the Referred Friend in the event the Referred Friend successfully creates a DraftKings or Jackpocket account and completes the Committed Action(s) through your Link. In the event a person clicks your Link but does not create a DraftKings or Jackpocket account and complete the Committed Actions(s) through your Link, including, but not limited to, clicking another Player’s Link before completing the Committed Action(s), refreshing the webpage your Link directed them to before creating a DraftKings account or completing the Committed Action(s), or otherwise leaving the webpage your Link directed them to before creating a DraftKings or Jackpocket account and completing the Committed Action(s), such person is not a Referred Friend, and you will not be entitled to a Reward, even if the person later creates a DraftKings or Jackpocket account and completes the Committed Action(s).

DraftKings reserves the right to refuse to open a DraftKings or Jackpocket account for a person that clicks a Link, in its sole and absolute discretion, for any reason or no reason. DraftKings will use reasonable efforts to track the number of Referred Friends generated by your Links, however, DraftKings shall not be responsible for, and you shall not be entitled to, any Rewards for any Referred Friends who click your Link but cannot be tracked by DraftKings for any reason, including, without limitation, improperly formatted Links or the referred person’s Internet browser not accepting DraftKings tracking cookie. DraftKings records with respect to who is a Referred Friend and who gets the Reward for that Referred Friend shall be final and binding.

DraftKings and its affiliates are not liable for any computer or program malfunctions or errors in Rewards. DraftKings reserves the right to withhold the Reward in the event DraftKings, in its sole and absolute discretion, for any reason or no reason, suspects: (i) any actions related to the Referred Friend or Reward are fraudulent, misleading, or inaccurate or (ii) you or the Referred Friend is in violation of the Terms, Promotional Terms, or TOU, including, without limitation, sharing account credentials with other individuals, placing contest entries, commodities trades, or wagers on behalf of other individuals, circumventing DraftKings age, identity, or location verification procedures, and/or abusing the Platforms or Program in any way.

Rewards

The Reward you receive for a Referred Friend is based on the Link the Referred Friend used when directed to the Platform and the specific DraftKings Platform such Link was associated with. For example only, in the event a person clicks your Link associated with daily fantasy, but then completes the Committed Action(s) associated with a sportsbook Program promotion, you will receive a DFS Reward. However, in the event a Program promotion provides bonuses or rewards to your Referred Friend as well, the Referred Friend will receive the Reward, in the event any, based on the Platform the Referred Friend completed their Committed Action(s), regardless of the Platform associated with the Link the Referred Friend used. You shall only be eligible for one (1) Reward per Referred Friend. For clarity, to be deemed a Referred Friend, the person must not have or ever had an account of any type with DraftKings or Jackpocket.

You may only earn a combined maximum of two thousand five hundred dollars ($2,500) worth of Casino Rewards and SB Rewards per calendar year for (i) Links sent while you were physically located in New Jersey and (ii) Referred Friends that created their DraftKings account while physically located in New Jersey.

You may earn Rewards for a maximum of five hundred (500) Referred Friends per calendar year. For clarity, in the event you refer more than five hundred (500) Referred Friends per calendar year, you will not receive any Rewards for any Referred Friends beyond the first five hundred (500) you refer in the calendar year.

The number of Rewards you may be eligible for in connection with the Program may be further limited by DraftKings in its sole and absolute discretion, for any reason or no reason, regardless of the number of Referred Friends, and the Promotional Terms for a promotion related to the Program may limit the number of Rewards you may earn in connection with such promotion.

User Obligations When Sending Referral Messages

By participating in the Program, you further agree that when you generate or send any Link and or message related to the Program (by text, email, social media, or other means):

Age Restrictions: you will not send the Link or message to any individual who is under the legal age in their jurisdiction for participating in the DraftKings Platform associated with the Link or message. For clarity, you will not send a Link or message to any individual under the age of eighteen (18);
Restricted Jurisdictions: you will not send the Link or message to any individual physically located in a jurisdiction where DraftKings does not offer the DraftKings Platform associated with the Link or message or does not offer the Program or relevant promotion. For clarity: (i) DraftKings does not offer the Program for online sportsbook referrals in Massachusetts, and therefore, you will not receive SB Rewards in the event you sent the Link while physically located in Massachusetts or the Referred Friend created their DraftKings account or completed the Committed Actions while they or you were physically located in Massachusetts, (ii) you shall not send a Link while physically located in Washington and shall not send a Link to any person who is a resident of Washington, and (iii) you shall not send a Link related to the DraftKings Predictions platform to any individual who is a resident of a non-Predictions Eligible Jurisdiction or is physically located in a non-Predictions Eligible Jurisdiction;
Applicable Law: you will comply with all laws, rules, and regulations applicable to the Links and messages you send;
Permission requirement: you will only send the Link or message to individuals you personally know and who have given you permission to contact them; and
Referral message disclosure integrity: you will not remove or alter the pre-populated referral message disclosure language. You may add personal content after the pre-populated language, but the pre-populated disclosure language must remain intact and unaltered at the beginning of the message.

Additional Terms Applicable to Everyone

DraftKings reserves the right to: refuse to open a DraftKings or Jackpocket account for any individual; refuse to allow any Player to use any Platform(s); and to close the account of any Player, in each case, at any time, in DraftKings’ sole and absolute discretion, for any reason or no reason. Additionally, DraftKings reserves the right to prohibit or exclude any individual from participating in the Program at any time, in DraftKings sole and absolute discretion, for any reason or no reason.

In the event DraftKings suspects there is any fraud or violations of the Terms or the TOU in connection with your participation in the Program or a Referred Friend, as determined in DraftKings’ sole and absolute discretion, for any reason or no reason, DraftKings may, in its sole and absolute discretion, void, delay, withhold, and/or require you to return any Reward(s). DraftKings is not obligated to pay to you and may withhold Reward(s), may void any Rewards, or require the return of any Rewards in the event you and/or your Referred Friend(s) violates the Terms or TOU; commits fraud; shares account credentials; makes deposits, makes commodities trades, makes lottery purchases, or places entries or wagers on behalf of other individuals; circumvents DraftKings age, identity, or location verification procedures,; or abuses the Platform, DraftKings services, any bonuses, the Program, or any other offers or promotions offered by DraftKings.

You shall comply with all applicable laws, and any policy, terms, or conditions provided to you by DraftKings in relation to money laundering and/or the proceeds of crime.

All taxes due in connection with any Rewards distributed to you are your sole liability. You are solely responsible for paying all federal, state, local, and other taxes associated with any Reward in accordance with the laws that apply in your local, state, province, and/or country of residence.

DRAFTKINGS PROVIDES YOU WITH REFERRAL MESSAGE TEMPLATES THAT INCLUDE SPECIFIC DISCLOSURES. YOU MUST NOT REMOVE OR ALTER THIS DISCLOSURE LANGUAGE, AND YOU AGREE TO INCLUDE IT IN ALL REFERRAL MESSAGES YOU SEND. You are solely responsible and liable for the content and manner of your referral marketing activities related to the Program. All such marketing activities must be professional, proper, and lawful under applicable rules, regulations, and laws, including any laws in relation to the content and nature of any advertising or marketing, (including, without limitation, the Endorsement and Testimonial Guidelines published by the United States Federal Trade Commission (the "FTC Guidelines")). Your content and manner of your referral marketing activities related to the Program must at all times comply with the Terms. For the avoidance of doubt, and without limiting your other legal and regulatory compliance obligations pursuant to this Agreement, you shall include within all pages, blogs, posts, social media posts, or other messaging where Links are posted all disclosure statements required by applicable laws, rules, and regulations, including, without limitation, the FTC Guidelines, as well as any other disclosures provided to you by DraftKings or required by DraftKings. All disclosure statements must comply with all applicable laws, rules, and regulations as well as all requirements provided or required by DraftKings.

You shall not yourself, nor shall you authorize, assist, or encourage any third party to:

Offer directly or indirectly to any player, person, or entity any consideration, reward, rebates, incentives, discounts, or any other benefit for using Links and completing Committed Actions with the intent of returning a proportion of any fees paid, amounts wagered, trading losses or profits, or winnings. Offering such reward schemes are strictly prohibited and are a breach of the Terms;
Read, intercept, modify, record, redirect, interpret, or fill in the contents of any electronic form or other materials submitted to DraftKings by any other person;
In any way alter, modify, redirect, interfere, suppress, or substitute the operation of any button, link, or other interactive feature on the Platform or in connection with the Program;
Take any action or make any statements that could cause any confusion as to your relationship with DraftKings or any other third party or as to the ownership or operation of the Platform;
Register as a Player or make deposits to any account (directly or indirectly) through your Link for your own personal use and/or the use of your relatives, friends, employees, agents, or advisors, or otherwise attempt to artificially increase the number of Referred Players credited to you or Rewards payable to you, or in any other way attempt to defraud DraftKings;
Promote, describe, or advertise DraftKings and/or any Platform(s) or other DraftKings services as illegal gambling or adult content; promote, describe, or advertise DraftKings Predictions as gambling; or promote or advertise DraftKings and/or any Platform(s) or other DraftKings services, including, without limitation, posting Links, on any illegal gambling, adult content, or warez/hacker sites, or otherwise link to any illegal gambling, adult, or warez/hacker sites in connection with the Links or messages you send in connection with the Program. Such adult content sites contain content that includes, without limitation, nudity, pornography, or sexually explicit or adult-related materials;
Promote or advertise the DraftKings daily fantasy or Pick6 Platforms or send any daily fantasy or Pick6 related Links to DFS Minors; promote or advertise the DraftKings Predictions Platform and services or send any DraftKings Predictions related Links to Predictions Minors; promote or advertise the DraftKings Sportsbook and Casino Platforms and services or send any sportsbook or casino related Links to SB/Casino Minors; promote or advertise the Jackpocket Platform and services or send any Jackpocket related Links to Lottery Minors; promote or advertise the DraftKings Racing Platform and services or send any DraftKings Racing related Links to Racing Minors; or promote or advertise DraftKings and/or DraftKings Platforms and services either directly or indirectly via distribution methods or media that could reasonably be considered to target DFS Minors, SB/Casino Minors, Racing Minors, Lottery Minors, or anyone under eighteen (18) years of age (as applicable) or any individual enrolled in a college or university, including, without limitation, sending any Links to any individual enrolled in a college or university;
Implement any technique or technology that posts or serves any advertisements or promotional content around or in conjunction with the display of DraftKings or Jackpocket websites (e.g., "framing" or pop-up windows);
Use any form of unsolicited commercial e-mail (SPAM);
Violate the terms of service of, or Abuse, any social media websites such as Facebook, Twitter, Instagram, Craigslist, MySpace, or any and all others in connection with your Program activities (for purposes hereof, "Abuse" shall mean spamming, sending any unsolicited mass mailing or instant messaging, or using social media websites for commercial purposes);
Seek to purchase or register (or purchase or register) any keywords, search terms, or other identifiers that include the word "DraftKings," “Jackpocket,” or variations thereof for use in any search engine, portal, sponsored advertising service, or other search or referral service;
Promote DraftKings, Jackpocket, or any Platform(s) in a profane, obscene, or unlawful manner. In addition, you shall not promote DraftKings, Jackpocket, or any Platform(s) in any manner that could be reasonably construed as damaging to DraftKings; or
Promote any Committed Action or incentivize referrals without explicit written permission from DraftKings.

In the event DraftKings determines, in its sole and absolute discretion, for any reason or no reason, that you have engaged in any of the foregoing activities or otherwise violated the Terms or TOU, DraftKings may, in its sole and absolute discretion, and without limiting any other rights or remedies available to DraftKings, withhold, void, or require the return of any Rewards.

There is no relationship of exclusivity, partnership, joint venture, employment, agency, or franchise between you and DraftKings under the Terms or related to your participation in the Program. The Terms or participation in the Program does not give you the authority to bind DraftKings (including the making of any representation or warranty, the assumption of any obligation or liability, and/or the exercise of any right or power).

Monitoring and Recordkeeping

DraftKings may collect and retain information when you generate or share Links, including, without limitation, user ID, timestamp, IP location, and the version of referral templates and checkboxes you accepted, for the purpose of monitoring compliance with the Terms, the TOU, and applicable law. DraftKings reserves the right to review and audit referral activity, and to suspend or withhold Rewards in the event it determines, in its sole and absolute discretion, for any reason or no reason, that you did not comply with the requirements in the Terms or TOU. DraftKings may rely on these records to demonstrate compliance with applicable consumer protection laws.

Modification and Cancelation of the Program

DraftKings reserve the right to change or cancel the Program at any time, in its sole and absolute discretion, for any reason or no reason, without prior notice.
